Terms of Service

These terms are the agreement between MyVPF LLC, a Texas limited liability company (“MyVPF,” “we,” “us”), and the insurance sales agency that subscribes to My VPF (“you” or the “agency”). They cover the My VPF web app at myvpf.app and the My VPF iPhone and iPad apps (together, the “service”). By subscribing, or by using the service, you agree to them.
If you are the person who signs up an agency, you are agreeing to these terms on that agency’s behalf and confirming you are allowed to do that. Individual agents use the service under their agency’s subscription; the agency, not the agent, is our customer.
The service
My VPF is a sales-activity tracking, canvassing, and coaching tool for insurance sales agencies. Agents record their activity and goals, leaders see their team’s pace and coach against it, and the agency gets the leaderboards, reporting, training, and other features included in its plan.
We improve the service continuously, so features change, get added, and occasionally get retired. We won’t make a material reduction to the core functionality your agency is paying for without telling you first. Some features are released gradually and may not be available to every agency at the same time.
Accounts and seats
The agency owner runs the roster. The owner (and any administrator they designate) adds and removes users, sets roles and reporting structure, and decides who has access. You are responsible for the accounts on your roster and for what the people on it do in the service.
Accounts are personal. Each user needs their own login — sharing one account between people isn’t allowed, and it makes the activity data meaningless anyway. Keep credentials confidential and tell us promptly if you believe an account has been compromised.
Removing someone is how you stop paying for them. Because billing follows actual usage (below), a user who is removed from your roster stops being billable. It is on you, not us, to keep the roster current.
Fees and billing
What you pay for. Your agency is billed monthly, per active user — a person on your roster who actually used the service during that calendar month. Someone who never signs in during a month is not billed for that month. The price per active user is the per-active-user rate presented in the app or otherwise agreed with your agency.
Cycles are calendar months, billed in arrears. Each cycle runs from the 1st through the end of the month. After a month closes, we total what it actually cost and bill it — you are never charged in advance for usage that hasn’t happened. Months are not prorated in either direction.
You get an itemized invoice by email. When a month is billed, we email an invoice to the agency owner (or to the billing email address you set) listing every user billed, the month it covers, and the total. The invoice is also in the app. Nothing is ever charged silently: issuing an invoice does not move money.
Payment is due within 14 days of the date the invoice is sent, and is made in the app.
How you pay — and the card surcharge. You can pay by bank transfer (ACH) at face value, with no added fee, or by card, which adds a 3% surcharge to the invoice amount to cover card-processing costs. The surcharge is shown to you in the app before you pay, and it appears as a separate line on your receipt. Choosing bank transfer avoids it entirely. Bank transfers settle over a few business days, so a payment may show as processing for a while before it completes — that is normal, and you should not submit it a second time.
Taxes. Our fees are exclusive of sales, use, and similar transaction taxes. Where we are required to collect them, they will be added to your invoice and are your responsibility. Taxes on our own income are ours.
Price changes. We may change the rate on notice to the agency owner; a change takes effect on a later billing cycle, never retroactively. A month that has already closed is never re-priced.
Disputes. If an invoice looks wrong, tell us within 30 days of the invoice date and we’ll look into it. We’d much rather fix a mistake than argue about one.
Late payment and suspension
If an invoice passes its due date, we’ll send reminder emails. If it stays unpaid, we may suspend or deactivate your agency’s access to the service until the balance is settled. We will make a reasonable effort to reach the agency owner before doing that.
Suspension doesn’t erase what you owe, and it doesn’t delete your data — your agency’s data is preserved while the account is inactive, and restoring access restores it. Fees accrued before suspension remain payable.
Your data
The agency owns its business data. The activity your agents record, your roster, your prospect and client contact information, your uploads, and everything else your people put into the service belong to your agency. We don’t claim ownership of any of it.
We process it to run the service for you. We store, transmit, and process your data to provide, support, secure, and improve My VPF, and to do what you ask us to do with it. We do not sell it and we do not use it for third-party advertising. How we handle personal information — what we collect, who it’s shared with, and how long we keep it — is set out in our Privacy Policy, which is part of these terms.
Your agents collect contact data in the field. The canvassing and business-card features let your agents save prospect and client contact details. You are responsible for making sure your agency collects and uses that information lawfully — including consent and do-not-call obligations for calls and text messages — and for having the right to give it to us to process.
Getting it out. While your subscription is active you can export your data from the service, and you can ask us for a copy at any time. See Termination below for what happens afterward.
Aggregated statistics. We may use de-identified, aggregated information about how the service is used to operate and improve it. This never identifies your agency, your people, or your contacts.
Acceptable use
Use the service for your agency’s legitimate business. Don’t use it to break the law, to harass anyone, or to send unlawful marketing. Don’t upload malware, try to breach or overload our systems, probe for vulnerabilities, scrape the service in bulk, or work around access controls, rate limits, or the billing system. Don’t resell, sublicense, or provide the service to anyone outside your agency, and don’t copy, reverse-engineer, or build a competing product from it.
Don’t upload data you don’t have the right to share, and don’t put sensitive categories of information into My VPF that it isn’t built for — the service is not designed to hold protected health information, full payment card numbers, or government identification numbers.
We may remove content or suspend an account that violates this section. If the violation is serious or ongoing, we may do it immediately.
Availability and support
We work to keep My VPF running and fast, but we don’t promise a specific uptime level. Maintenance, third-party outages, and the ordinary hazards of the internet happen. Support is by email at support@myvpf.app — see the Support page.
Disclaimer of warranties
The service is provided “as is” and “as available.” To the fullest extent permitted by law, MyVPF LLC disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure against every threat, or that it will produce any particular sales result.
My VPF is a tracking and coaching tool. It is not insurance, legal, tax, financial, or compliance advice, and it is not a system of record for regulatory purposes. Your agency remains responsible for its own licensing, carrier obligations, and compliance.
Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business, or lost or corrupted data, even if it was warned they were possible.
Each party’s total liability arising out of or relating to these terms is capped at the total fees paid by the agency to MyVPF LLC in the twelve months before the event that gave rise to the claim. These limits do not apply to your obligation to pay fees you owe, to either party’s indemnification obligations, or to liability that cannot be limited under applicable law.
Termination
Either party may end this agreement on 30 days’ written notice. We may suspend or terminate immediately for non-payment or for a serious breach of the acceptable-use section.
Because billing is in arrears, ending your subscription does not wipe out fees already incurred: you owe for the months your team used the service, including the partial month in which termination takes effect. There are no refunds of amounts already paid, except where we’ve made a billing error.
After termination, you may request an export of your agency’s data for 30 days. After that we may delete it in the ordinary course, subject to backups that age out on their normal schedule and to anything we must keep by law.
Changes to these terms
We may update these terms. When we do, we’ll revise the “Last updated” date above and, for material changes, notify the agency owner by email or in the app before they take effect. Continuing to use the service after that means you accept the updated terms.
Governing law
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and the state and federal courts located in Texas have exclusive jurisdiction over any dispute arising from them. Both parties consent to venue there.
Other terms
These terms, together with the Privacy Policy and any written order or rate agreed with your agency, are the entire agreement between us on this subject. If any provision is held unenforceable, the rest stays in effect. Neither party’s failure to enforce a provision waives it. You may not assign this agreement without our consent; we may assign it in connection with a merger or sale of the business. Nothing here creates a partnership, joint venture, or employment relationship, and there are no third-party beneficiaries.
